Terms and Conditions

Effective Date: July 5, 2026

These Terms and Conditions ("Terms") are a binding agreement between you and Shajer LLC, a company registered in Austin, Texas, USA ("Shajer", "Company", "we", "us", or "our"), governing your access to and use of:

  • the Shajer website at shajer.shop;
  • the Shajer customer mobile application;
  • the Shajer Vendor mobile application; and
  • the Shajer Delivery mobile application,

together with all related features, content, and services (collectively, the "Platform" or "Services"). These Terms apply equally and identically to every channel above. By creating an account, browsing, placing an order, listing a store, accepting delivery jobs, or otherwise using the Platform, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform.

1. Definitions

  • "Customer" means a person who browses or places orders for food, groceries, retail/e-commerce goods, pharmacy items, parcel/courier delivery, or other on-demand services offered on the Platform.
  • "Vendor" or "Merchant" means a business or individual that lists a store, restaurant, pharmacy, or catalog of items for sale through the Shajer Vendor application or the Platform.
  • "Delivery Partner" means an individual who registers through the Shajer Delivery application to accept and fulfill delivery jobs.
  • "Order" means a request placed by a Customer to purchase items or services from a Vendor and/or to have an item transported by a Delivery Partner.
  • "Content" means text, images, ratings, reviews, chat messages, and other material submitted to the Platform by any user.

2. Eligibility and Account Registration

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account or transact on the Platform. The Platform is not directed at, and we do not knowingly permit account registration by, children under 13. Vendors and Delivery Partners additionally represent that they have the legal right to conduct business, hold any required licenses (e.g., food handling, business registration, driver's license, vehicle registration), and to work as described in Sections 6 and 7.

You agree to: (a) provide accurate, current, and complete information during registration and keep it up to date; (b) keep your login credentials and any one-time passcodes (OTP) confidential; (c) be responsible for all activity under your account; and (d) notify us immediately at support@shajer.shop of any unauthorized use of your account.

3. Description of Services

Shajer operates a multi-service, multi-vendor on-demand marketplace connecting Customers, Vendors, and Delivery Partners, covering categories that may include food delivery, grocery/e-commerce retail, pharmacy, and parcel/courier delivery, and any other categories we introduce from time to time. Shajer is a technology platform that facilitates connections and transactions between independent Vendors, independent Delivery Partners, and Customers. Except where we expressly identify ourselves as the seller of record, Shajer is not the manufacturer, seller, or preparer of the items listed by Vendors, and does not itself perform deliveries.

4. Customer Terms

  • Orders and pricing. Prices, availability, delivery fees, taxes, and estimated delivery times are set and displayed by Vendors and the Platform and may change without notice. You are responsible for reviewing your Order, delivery address, and total charges before confirming.
  • Payment. Payments are processed through the payment method you select at checkout, as described in Section 8 (Payments and Fees).
  • Cancellations and refunds. Cancellation windows, refund eligibility, and processing timelines are governed by our separately published Refund/Cancellation Policy, available in the app and at shajer.shop, which is incorporated into these Terms.
  • Age-restricted or regulated items. Where an Order includes pharmacy items or other regulated goods, you confirm that you are legally permitted to purchase such items and that the information you provide (e.g., prescriptions, if requested) is accurate.
  • Ratings, reviews, and chat. You may be given the ability to rate Vendors/Delivery Partners, leave reviews, and exchange in-app chat messages related to an Order. Content you submit must be truthful, lawful, and not harassing, defamatory, or abusive.

5. Vendor / Merchant Terms

  • Store and listing accuracy. You are solely responsible for the accuracy of your store profile, item descriptions, pricing, images, allergen/nutrition information, availability, and compliance with applicable food-safety, health, licensing, and consumer-protection laws for anything you list or sell.
  • Order fulfillment. You must prepare and hand over Orders accepted through the Platform within the timeframes you commit to, and maintain the quality and safety standards required by law and by these Terms.
  • Fees, commission, and subscriptions. Use of the Vendor application is subject to the commission, service fees, and/or subscription package terms presented to you in-app or in your Vendor agreement. We may deduct commissions and fees from amounts payable to you before disbursement.
  • Payout information. You are responsible for providing accurate bank account/payout details in the Vendor app. We are not liable for funds misdirected due to inaccurate payout information you supplied.
  • Connected hardware. If you connect a Bluetooth receipt printer or similar accessory through the Vendor app, that connection and any data exchanged with the device are local to your device and network; we are not responsible for third-party hardware performance.
  • Taxes. You are solely responsible for determining, collecting, and remitting any taxes applicable to your sales.

6. Delivery Partner Terms

  • Independent relationship. Delivery Partners engage with the Platform as independent contractors (or in the capacity recognized under applicable local law), and not as employees, agents, joint venturers, or partners of Shajer, unless a separate written agreement states otherwise.
  • Verification and eligibility. You must complete identity verification (e.g., government-issued ID, and where applicable, driver's license and vehicle registration) before accepting delivery jobs. You must keep such documents current and promptly update them if they change, expire, or are revoked.
  • Location while on duty. The Shajer Delivery application uses your device's location, while the app is open and your status is set to active/online, to match you with nearby delivery jobs, calculate distances, and allow Customers and Vendors to track the progress of their Order. Location is not collected when the app is closed or when your status is set to offline. See our Privacy Policy for details.
  • Conduct and safety. You must comply with all applicable traffic, road-safety, and licensing laws, handle items with care, and treat Customers and Vendors respectfully. Delivery-proof photographs may be required to confirm completion of a job.
  • Earnings and payout. Earnings, balances, and withdrawal requests are calculated and displayed in the Delivery app based on completed jobs and any applicable adjustments (e.g., cancellations, disputes, penalties) as described in your Delivery Partner agreement.

7. Push Notifications and Communications

By using the Platform, you consent to receive transactional push notifications (order status, chat messages, payout updates, account notices) sent via Firebase Cloud Messaging. You may disable push notifications at any time through your device's notification settings, though this may affect your ability to receive time-sensitive order updates. We may also send account-related emails or SMS/OTP messages required to operate the Services; promotional communications will include an opt-out mechanism where required by law.

8. Payments and Fees

The Platform integrates with third-party payment gateways and, where applicable, in-app wallet/cash-on-delivery options to process payments. Shajer's applications do not collect or store your full payment card details. Card and payment credential data is entered directly with, and processed by, our licensed payment gateway partners through a secure hosted checkout or webview; we and our applications only receive confirmation of payment status and limited transaction metadata (amount, method, reference ID). You authorize us and our payment partners to charge your selected payment method for Orders, applicable fees, and any adjustments (e.g., corrections, refunds) as described in the Refund/Cancellation Policy.

9. User Content and Prohibited Conduct

You retain ownership of Content you submit but grant Shajer a worldwide, royalty-free license to host, display, and distribute it as necessary to operate the Platform (e.g., displaying reviews, transmitting chat messages to their intended recipient). You agree not to: violate any law; infringe intellectual property or privacy rights; upload malware or attempt to breach Platform security; scrape or reverse-engineer the Platform; misuse another user's personal information obtained through an Order; or use the Platform for any fraudulent, harassing, or unsafe purpose.

10. Intellectual Property

The Platform, including its software, design, logos, and trademarks (excluding Vendor-supplied content), is owned by or licensed to Shajer and protected by intellectual property laws. No rights are granted to you except the limited, revocable, non-transferable license to use the Platform for its intended purpose.

11. Third-Party Services

The Platform relies on third-party services, including Google Firebase (authentication, push notifications, crash/analytics reporting), Google Maps Platform (maps, geocoding, distance calculation), Google Sign-In, Facebook Login, Sign in with Apple, and one or more third-party payment gateways. Your use of these integrated features is also subject to the applicable third party's own terms and privacy practices. We are not responsible for the acts, omissions, or availability of third-party services.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAJER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT ORDERS WILL BE DELIVERED WITHOUT DELAY OR ERROR, OR THAT VENDOR-SUPPLIED ITEMS WILL MEET YOUR EXPECTATIONS; VENDORS ARE SOLELY RESPONSIBLE FOR THE QUALITY AND SAFETY OF THE ITEMS THEY SELL.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAJER AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SHAJER IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100).

14. Indemnification

You agree to indemnify and hold harmless Shajer from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your Content, your violation of any law, or your use of the Platform, including, for Vendors and Delivery Partners, any claim relating to the items you sell or the services you provide.

15. Suspension and Termination

We may suspend or terminate your account, or restrict access to the Platform, at any time if we reasonably believe you have violated these Terms, applicable law, or pose a risk to the Platform, other users, or third parties. You may stop using the Platform, and delete your account, at any time using the "Delete Account" option available in your app or web profile settings, or by emailing support@shajer.shop. Sections that by their nature should survive termination (e.g., payment obligations, disclaimers, limitation of liability, indemnification, governing law) will survive.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws principles. You and Shajer agree that any dispute arising out of or relating to these Terms or the Platform will be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts, except where applicable law requires a different forum for consumer disputes.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by updating the "Effective Date" above and, where required by law, by additional notice (e.g., in-app notice or email). Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

18. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any policy referenced herein, constitute the entire agreement between you and Shajer regarding the Platform.
